Welcome to Always On Data ("Always On Data," "Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, products, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

Always On Data provides consulting, data, and related professional services to clients. Services may be delivered on a project basis, subscription, or retainer agreement, as outlined in a separate written agreement, IO or statement of work ("SOW").

We reserve the right to refuse or discontinue Services at our discretion, subject to any applicable written agreements.

3. Client Responsibilities

Clients agree to:
  • Provide accurate and complete information necessary for us to perform the Services
  • Cooperate in a timely manner and designate a point of contact
  • Comply with all applicable data protection and privacy laws
  • Use any data or deliverables provided in a lawful and ethical manner
Always On Data is not responsible for delays or issues caused by incomplete or inaccurate client information.

4. Payment Terms

Unless otherwise agreed in writing:

  • Fees are payable in advance or according to the applicable IO, SOW or invoice
  • Payment methods may include ACH, credit card, or other approved methods
  • Late payments may incur interest, fees, or suspension of Services
  • Clients are responsible for all applicable taxes
We reserve the right to pause or terminate Services for non-payment.

5. Intellectual Property

All content on our website, including text, graphics, logos, and software, is owned by or licensed to Always On Data and is protected by intellectual property laws.

Unless otherwise specified in a written agreement:

  • Always On Data retains ownership of methodologies, tools, and underlying intellectual property
  • Clients are granted a limited, non-exclusive license to use deliverables for their internal business purposes
  • Clients may not reproduce, resell, or distribute our work without written permission
6. Confidentiality

Both parties agree to protect confidential information received from the other party and to use such information solely for the purpose of performing the Services. Confidential information will not be disclosed to third parties without consent, except as required by law.

7. Data Protection and Privacy

We implement reasonable safeguards to protect information handled in connection with our Services. Each party agrees to comply with applicable data protection and privacy laws. Specific data handling obligations may be addressed in separate agreements.

8. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Always On Data disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee specific results from consulting or data services.

9. Limitation of Liability

To the fullest extent permitted by law, Always On Data will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to the Services.

Our total liability for any claim arising from the Services will not exceed the total fees paid by the client for the Services giving rise to the claim during the preceding twelve (12) months.

10. Indemnification

You agree to indemnify and hold harmless Always On Data and its affiliates from any claims, damages, or expenses arising from your misuse of the Services or violation of these Terms.

11. Termination

Either party may terminate Services in accordance with the applicable agreement or SOW. Upon termination, outstanding fees become immediately due and payable.

Sections relating to intellectual property, confidentiality, disclaimers, and limitation of liability will survive termination.

12. Governing Law

These Terms are governed by the laws of the State of [Insert State], without regard to conflict of law principles. Any disputes will be resolved in the courts located within that jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on our website with a revised effective date. Continued use of the Services constitutes acceptance of the updated Terms.
